All improvements, designs and construction are subject to first obtaining the appropriate federal, state and local permits and approvals for same. Any features described for the residences are representative only, and the developer reserves the right, without notice to or approval by a buyer, to make changes or substitutions of equal or better quality for any features, materials and equipment which are included with the unit. Minor Hotels Legal Notice
SPR LND Ltd, being the current owner and developer of Anantara Turks and Caicos Resort (“Vendor”), is solely responsible for the development, marketing and sale of the Residential Units. The Residential Units are not owned, developed or sold by Minor Hotel Group Limited, or any of their affiliates (collectively “Minor Hotels”). There exists no joint venture, partnership, ownership or similar relationship between SPR LND Ltd and Minor Hotels.
SPR LND Ltd, at its sole discretion, may make alterations to the internal design of the Residential Units at Anantara Turks and Caicos Resort (the “Residential Project”, and individually a “Residential Unit”) that may differ from that shown in this document and/or represented in any other marketing materials and/or displays including, but without limitation, to any advertising, marketing and/or sales concepts, programs or materials, or any other content to be posted on any website maintained by or on behalf of SPR LND Ltd. Residential Unit designs and materials presented herein are representative of the intended end product. Actual constructed Residential Unit may vary in materials and furnishings.
The usage of the name “Anantara” and related marks is strictly governed by certain agreements between SPR LND Ltd and Minor Hotels. The “Anantara Brand” name, design, logomarks, trademarks and related marks are the exclusive property of Minor Hotels. The Purchasers or owners of the Residential Units shall acquire no interest of any kind or nature in the “Anantara” brand, logomarks or related trademarks and may use the “Anantara” name solely for the limited purpose of identifying the location of the Residential Unit. Minor Hotel’s role as licensor of the “Anantara” brand for the Residential Project is not in perpetuity and may end at any time without notice to or consent of purchasers or owners of the Residential Units, in which event the “Anantara” brand will be disassociated from the Residential Project and the Residential Units and no reference to the “Anantara” brand shall be applied to the Residential Project or the Residential Units.
In addition, by consenting to SPR LND Ltd’s limited use of Minor Hotel’s trade and logo marks, Minor Hotels does not make any representation or warranty, express or implied, as to the accuracy, currency, reliability or completeness of the information in this document and Minor Hotels is not responsible or liable in any way whatsoever for any claim, loss or damage arising out of or related to information set out in this document.
Minor Hotel Group Limited, or any of their affiliates (collectively “Minor Hotels”) are not responsible for the design concepts or selection of furnishings, fixtures and finishes for the Residential Units and Minor Hotels is not responsible for and makes no representations about the extent to which the Residential Units or Anantara Turks and Caicos Resort complies with the image, quality, design standards and expectations of the Anantara Brand.
Anantara Turks and Caicos is not owned, developed or sold by Minor Hotel Group Limited, or any of their affiliates (collectively “Minor Hotels”). SPR LND Ltd uses the “Anantara” name, design, logomarks, trademarks and related marks under a limited license from Minor Hotels. Minor Hotels is not responsible for the content presented in this website/on this platform, including but not limited to, any advertising claims, marketing practices, and data collection, use and privacy practices.
Purchaser acknowledges that (i) the Residential Unit is being sold by SPR LND Ltd (“Seller”) and not by Minor Hotel Group Limited, or any of their affiliates (collectively “Minor Hotels”); (ii) Minor Hotels has not made any disclosures or provided information to Purchaser, and is not responsible for any disclosures made or information provided by Seller, or its sales persons, brokers, agents or any other person to Purchaser, with respect to the Residential Unit or any other portion of the Residential Units, the Hotel, or the Residential Project, including, without limitation, the availability of any services to the Residential Unit, access to the Hotel, or the availability of services from the Hotel; (iii) Minor Hotels has not confirmed the accuracy of any marketing or sales materials provided by Seller, is not part of or an agent for Seller and has not acted as broker, finder or agent in connection with the sale of the Residential Unit; and (iv) Purchaser waives and releases Minor Hotels from and against any liability with respect to any representations or defects or any claim whatsoever, relating to the marketing, sale, design or construction of the Residential Unit or the Residential Project (including any buildings).
Purchaser acknowledges and agrees that Seller’s right to sell the Residential Units under the name “Anantara” is governed by a limited license agreement with Minor Hotels. Purchaser acknowledges and agrees that it is not acquiring, has no rights in or to use, and no license to use the “Anantara” brand name and associated trademarks.
Minor Hotels, as manager of the Hotel, and Seller, as owner of the Hotel, are parties to a management agreement to manage the Hotel (the “Hotel Management Agreement”). Purchaser acknowledges and agrees that in the event the Hotel Management Agreement is terminated for any reason, (i) all management of and services provided by Minor Hotels, as manager of the Hotel, on behalf of the Seller or its affiliates shall cease.
Purchaser represents and warrants that: (i) Purchaser is purchasing the Residential Unit, and Purchaser entered into the Sale and Purchase Agreement, without reliance upon any representation concerning any guaranteed potential for future profit, any guaranteed future appreciation in value, any guaranteed rental income potential, guaranteed tax advantages, guaranteed depreciation or investment potential and without reliance upon any guarantee of continued hotel affiliation or any guaranteed monetary or financial advantage; (ii) no statements or representations have been made by Minor Hotels, Seller, or any of their respective agents, employees or representatives with respect to: (1) any guaranteed economic or tax benefits to be derived from the managerial efforts of a third party as a result of renting the Residential Unit or other residential units, or (2) any guaranteed economic or tax benefits to be derived from ownership of the Residential Unit, or (3) any guaranteed potential for future profit, any guaranteed future appreciation in value, any guaranteed rental income potential, guaranteed tax advantages, guaranteed depreciation or investment potential.
Purchaser represents and warrants that it has read, understood, acknowledges and accepts the disclosures made by the Seller and Minor Hotels under the Purchaser’s Acknowledgment
